Welcome to Banx Not Banks ("Banx", "we", "our", "us"). These Terms and Conditions ("Terms") govern your access to and use of our platform, financial tools, and digital ecosystem including the use of Axion-Coins, our proprietary utility token that enables the licensing and monetization of creative assets.
By creating an account, using Axion-Coins, or submitting creative works, you agree to these Terms in full. If you do not agree, please refrain from using the platform.
1. Eligibility
To use Banx, you must be at least 18 years of age and legally capable of entering into binding agreements in your jurisdiction.
2. Account Registration
You must create an account to access our services. You agree to provide accurate, complete information and keep it updated. You are responsible for all activity under your account and for maintaining the confidentiality of your login credentials.
3. Use of Axion-Coins
3.1 Nature of Axion-Coins
Axion-Coins are utility tokens used within the Banx ecosystem to access, license, or transact in creative assets. They do not represent equity, debt, or ownership in Banx.
3.2 Convertibility & Refunds
Axion-Coins are refundable and may be exchanged for fiat currency at any time through your Banx wallet interface, subject to current market value and applicable fees.
3.3 Wallet and Transactions
Your Axion-Coin balance is securely hosted in your digital wallet. All transactions are recorded and auditable. Banx reserves the right to impose limits or security holds for compliance purposes.
4. Licensing of Creative Assets
When you use Axion-Coins to access creative content on Banx:

• You are purchasing a non-exclusive, time-limited license to use the asset under defined terms (e.g., commercial/editorial use, territory, duration).

• You do not acquire ownership of the asset or its intellectual property.

• You must respect the license terms provided with each asset and may not reproduce, distribute, or modify the content outside those terms.

5. Creator Licensing Agreement
If you are a creator submitting assets for licensing, the following terms apply:
5.1 Ownership & Representation
You confirm you are the rightful owner or authorized licensor of all works submitted. You retain full intellectual property rights.
5.2 Licensing Grant
You grant Banx a non-exclusive, worldwide right to promote, license, and monetize your creative assets. Banx may sublicense usage rights to clients in exchange for Axion-Coins under predefined or creator-selected terms.
5.3 Revenue & Payment

• You will receive a revenue share (default: 70%) from each transaction involving your asset.

• Payouts are made in Axion-Coins or converted fiat, at your discretion, via your wallet.

5.4 Asset Removal
You may request removal of your work from Banx at any time. Active licenses granted before removal remain valid until expiry.
5.5 Standards & Integrity
You agree not to submit plagiarized, unlawful, or harmful content. Banx reserves the right to reject or remove content violating these standards.
6. Fees
Banx may charge reasonable service, transaction, or conversion fees. These will be disclosed prior to execution of any transaction.
7. Acceptable Use Policy
You agree not to:

• Violate any applicable laws or regulations.

• Use the platform for fraudulent or exploitative purposes.

• Misuse or reverse-engineer our systems or smart contracts.

• Interfere with other users' access or intellectual property.

8. Intellectual Property
Banx and its licensors retain all rights to the platform design, technology, brand assets, and documentation. You may not reproduce or repurpose our platform content without explicit permission.
9. Disclaimers
Banx is provided “as is” without warranties of performance, uptime, or suitability. We do not guarantee future value of Axion-Coins or continuous availability of assets.
10. Limitation of Liability
To the extent permitted by law, Banx shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or creative assets.
11. Account Termination
Banx reserves the right to suspend or terminate your account for violations of these Terms. Termination may result in revocation of access and forfeiture of unused Axion-Coins in cases of abuse or fraud.
12. Modifications to Terms
We may update these Terms from time to time. Notice will be provided via platform alerts or email. Continued use of the platform constitutes acceptance of the revised Terms.
13. Governing Law
